    Hey Ross
    i'm the ricardian nft superfan apparently
    i suppose incorporation implies some annual paperwork such as tax filing even if there are no revenues, right?
    just reading your answer over on twitter.

    hai :0!!
    yes, the Ricardian agreements and most assumptions in Tax law treat a single-member LLC as a "pass through" entity, so profits realized from the LLC activities should be reported as personal income (not legal advice, etc)

    would it be possible to say its dissolved when all the tokens are burned
    Ross Campbell
    @Ro5s
    yes, that is a good edit (so, in your mind, a DAO burns its membership tokens?)

    can collect these suggestions and then amend the Master Agreement and Series template. Each NFT minted also can do an updateTokenDetails() and then include piecemeal addendums and edits to the Schedule C template

    Awesome project! Will there also be an option for Wyoming LLC's made?

    Not legal or tax advice, but each state has their own taxation which often depend on where the member is domiciled. Some states are extraterritorial (like CA) https://www.nolo.com/legal-encyclopedia/how-llcs-are-taxed-29675.html

    the v1 Ricardian LLC is actually based in WY :slight_smile: @Aeroxander

    Nice! is there a reason Delaware is chosen this time?

    isnt it much harder with the members etc as they cant be anonymous? or is that just done through a smart contract function?

    hello there! love the idea, fits with what i want to spend the present decade on! :D

    what do i need at a minimum to port this to other jurisdictions (i.e., Estonia)?

    Ross Campbell
    @Ro5s
    hey @xmjEE_twitter thanks for exploring here with us! So, I am not an Estonian lawyer, but I assume there is a very similar structure to LLC for business associations. The Ricardian NFT smart contract is verified on Ethereum mainnet here: https://etherscan.io/address/0x43b644a01d87025c9046f12ee4cdec7e04258ebf#code
    happy to discuss how we could adapt for Estonian context, if there might be additional governance functions that could help as a 'compliance plan'

    Yeah, the tricky issues I see is that the LLC spin isn't taxed on "pass through" bases (instead, dividend payments trigger corporate taxes) and that I'm not aware of a Series LLC analog

    Ricardian LLC 'quick start' now describes a new formation flow. In this case, deploy an LLC-DAO using OpenLaw and daohaus https://app.gitbook.com/@ricardian/s/ricardian-llc/quick-start
